Sendiro Wallet – Terms and Conditions

Thank you for taking the time to read these Terms and Conditions.

These Terms form the legal agreement between you (the user) and Success Innovation Global LTD, the company that developed and operates Sendiro Wallet (accessible at sendirowallet.com).

By downloading, installing, or using Sendiro Wallet in any way, you agree to be bound by these Terms. If you do not agree with any part of them, please do not use the application.

1. Nature of Sendiro Wallet

Sendiro Wallet is a non-custodial mobile application that allows you to manage your own digital assets directly on your device. It enables you to:

• Generate and manage blockchain wallet addresses and private keys locally on your phone
• View balances and transaction history
• Send and receive digital assets on supported blockchain networks
• Connect to decentralized third-party protocols for token swaps and similar features

Because the wallet is non-custodial, you retain full control of your private keys, seed phrase, and digital assets at all times. Success Innovation Global LTD does not:

• Access, store, hold, or control your private keys, seed phrase, or funds
• Act as a custodian, bank, exchange, broker, intermediary, or financial service provider
• Operate a trading platform, match orders, manage liquidity, or participate in transactions as a counterparty

All transactions are executed directly on public blockchains through your explicit authorization. Once a transaction is broadcast and confirmed on the network, it is irreversible. We have no ability to reverse, cancel, recover, or refund any transaction.

2. We Are Not an Exchange or Financial Services Provider

Sendiro Wallet is not an exchange and does not function as one. We do not facilitate centralized trading, operate order books, manage trading pairs, run liquidity pools, or act as an intermediary between users.

We also do not provide any regulated financial services, including (but not limited to) money transmission, brokerage, investment products, lending, borrowing, or advisory services. No user funds or keys ever pass through or are stored on systems controlled by Success Innovation Global LTD. The application serves solely as a user interface that connects directly to public blockchains and decentralized protocols.

3. Reliance on Third-Party Protocols and Aggregators

Features such as token swaps connect you to independent third-party decentralized protocols and aggregators. These external services source liquidity, optimize trade routes across various decentralized exchanges (DEXs), and execute transactions on-chain.

Success Innovation Global LTD does not develop, operate, control, or maintain these third-party tools. We do not influence routing decisions, pricing, liquidity management, or transaction execution. When you initiate a swap or similar action, you interact directly with the third-party smart contracts—not with us.

We strongly recommend that you review the documentation, terms, security audits (if available), and risks associated with any third-party protocol or aggregator before using it. These risks may include slippage, front-running, smart-contract vulnerabilities, liquidity issues, or temporary unavailability. Your interactions with these services are governed by their own terms and are undertaken at your sole risk and responsibility.

4. Eligibility and Compliance

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.

It is your responsibility to ensure that using Sendiro Wallet complies with all applicable laws, regulations, and restrictions in your jurisdiction. The application is not offered or intended for use in locations where such use is prohibited.

5. Your Responsibilities and Key Risks

As a non-custodial wallet, you are solely responsible for:

• Securely storing and protecting your recovery seed phrase (never share it, digitize it unsafely, or store it online)
• Safeguarding your device against loss, theft, malware, unauthorized access, or damage
• Verifying every recipient address, amount, network, and transaction fee before confirming any action
• Understanding blockchain mechanics, including variable fees, network congestion, forks, or outages
• Conducting your own due diligence on any protocols, smart contracts, or services accessed through the app
• Ensuring your activities are lawful in your location

You acknowledge and accept significant risks, including:

• Permanent loss of access to funds if you lose your seed phrase or device without a secure backup
• Irreversible loss from sending assets to an incorrect address or wrong network
• Vulnerabilities, exploits, poor execution, or failures in third-party decentralized protocols
• High volatility and the potential for total loss of value in digital assets

We will never request your seed phrase, private keys, or remote access to your device. Any such requests are fraudulent—please report them immediately.

6. No Warranties or Guarantees

The application is provided "as is" and "as available," without any warranties of any kind. We do not guarantee uninterrupted access, error-free operation, complete security, or fitness for any particular purpose.

To the maximum extent permitted by law, Success Innovation Global LTD disclaims all liability for any loss of digital assets, financial harm, or other damages arising from your use of the application, blockchain networks, or third-party services.

7. Third-Party Services

Any blockchain networks, protocols, aggregators, or other services accessed through the app are operated by independent third parties. We do not control, endorse, or assume responsibility for their performance, security, terms, or outcomes.

8. Intellectual Property and Acceptable Use

The application, its design, name, and non-open-source components are owned by Success Innovation Global LTD or our licensors. You are granted a limited, personal, non-transferable license to use the app for lawful personal purposes only.

You agree not to use the application for illegal activities, to exploit vulnerabilities, distribute malware, or overburden our infrastructure. We reserve the right to restrict or terminate access if we suspect misuse.

9. Limitation of Liability

To the fullest extent permitted by law, our total liability (if any) shall not exceed the amount you have paid us (typically zero, as the app is free). We are not liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold Success Innovation Global LTD harmless from any claims, losses, liabilities, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the application.

11. Termination

You may stop using the application at any time. We may suspend or terminate your access at any time, for any reason, without notice.

12. Changes to These Terms

We may update these Terms from time to time. We will make reasonable efforts to notify you of material changes (e.g., via in-app notice or on sendirowallet.com). Your continued use after such changes constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Nigeria. Any disputes shall be resolved through binding arbitration in Lagos under the rules of the Lagos Court of Arbitration, or in the courts of Nigeria if arbitration is not available. You waive any right to participate in class actions or jury trials.

14. Miscellaneous

• These Terms, together with our Privacy Policy, constitute the entire agreement.
• If any provision is held invalid, the remainder remains in effect.
• No waiver of any right shall be deemed a continuing waiver.
• We may assign these Terms; you may not without our consent.
• We are not liable for events beyond our reasonable control (e.g., natural disasters, blockchain disruptions).
